The undersigned, all of whom are citizens of the United States, desiring to form a corporation, not for profit, under the general corporation Act of Ohio, do hereby certify:
FIRST: The name of the corporation shall be EPHIA CORPORATION.
SECOND: The place in this State where the principal office of the corporation is to be located in the City of Cincinnati, Hamilton County.
THIRD: The purpose or purposes for which said corporation is formed are:- Promoting the general welfare of the community of East Price Hill of the City of Cincinnati, Ohio, by giving special attention to public improvement and all that relates to the betterment thereof, and the convenience and comfort of the residents thereof; encouraging social interaction among its members.
- Receiving, holding, managing, controlling, investing, reinvesting, lending, donating and disbursing donations, bequests, income, and other funds for any civic, public, or charitable purpose; devoting any or all of such proceeds to promoting the general welfare of the community by giving special attention to public improvements and all that relates to the improvement of East Price Hill; including the maintenance of the said corporation.
FOURTH: The following persons shall serve said corporation as Trustees until the first annual meeting or other meeting called to elect Trustees.

FIFTH: No part of the net earnings of this corporation shall inure to the benefit of, or be distributable to its members, directors, or trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes of this corporation.
SIXTH: Upon the dissolution of this corporation, its assets remaining after payment, or provision for payment, of all debts and liabilities of this corporation shall be distributed for one or more exempt purpose within the meaning of Section 501(c)(3) of the Internal Revenue Code or shall be distributed to the federal government, or to a state or local government, for a public purpose. Such distribution shall be made in accordance with all applicable provisions of the laws of the State of Ohio.
